The accuracy, completeness, and timeliness of all automated filings, calendar events, and time entries remain the sole professional responsibility of the attorney or law firm using the Services.
1. Use of our Services
To use our Services, you must be a licensed legal professional, law firm representative, or authorized administrator. You agree to:
- Provide accurate, current, and complete information during setup.
- Maintain the security and confidentiality of your accounts, API keys, and authorization tokens.
- Notify us immediately of any unauthorized use of your account or security breach.
- Ensure you have the proper client consents and authorizations required under local ethics rules before enabling integrations that read client data or emails.
2. Third-Party Integrations & Accounts
Our Services rely on connecting to third-party accounts (such as Gmail, Google Workspace, Google Calendar, Clio, and other CMS platforms) via OAuth 2.0. By enabling these integrations, you authorize us to access, retrieve, write, and transmit data to and from those platforms as required to perform the Services.
We do not control and are not responsible for the availability, terms, or privacy practices of these third-party platforms. Your use of third-party platforms is governed by their respective terms and policies.
3. Data Usage & Privacy
Your privacy is of the utmost importance. Our collection, storage, and usage of your data are governed by our Privacy Policy. By using our Services, you consent to the data practices described therein.
4. Service Limitations & Disclaimers
We endeavor to maintain high availability and accuracy for our workflow automations. However, our Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Specifically, we do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure.
- Every court notice, deadline, or email will be parsed with 100% accuracy.
- Automated calendaring or Clio entries will never experience sync lag or formatting issues.
You acknowledge that you have an independent professional duty to review and verify all calendar events, time entries, and document filings before relying on them.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Virtual Paralegal, its operators, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, missed deadlines, court sanctions, malpractice claims, or other intangible losses arising out of or in connection with your use of the Services.
6. Intellectual Property
The Services, including all software, source code, designs, algorithms, visual elements, and graphics, are and remain the exclusive property of Virtual Paralegal. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for your firm's administrative operations.
You retain all intellectual property rights and ownership over the data, case files, client details, and communications that pass through the system.
7. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Jacksonville, Florida.
8. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will post the revised terms on this page and update the "Last Updated" date. Continued use of our Services after changes are posted constitutes your acceptance of the new Terms.

2. Integraciones y Cuentas de Terceros

5. Limitación de Responsabilidad
En la medida máxima permitida por la ley aplicable, en ningún caso Virtual Paralegal, sus operadores, empleados o socios serán responsables de daños indirectos, incidentales, especiales, consecuentes o punitivos, incluidos, entre otros, la pérdida de ganancias, pérdida de datos, pérdida de fondo de comercio (goodwill), plazos vencidos, sanciones judiciales, reclamos por negligencia profesional u otras pérdidas intangibles que surjan de o en conexión con su uso de los Servicios.
6. Propiedad Intelectual
Los Servicios, incluidos todo el software, código fuente, diseños, algoritmos, elementos visuales y gráficos, son y seguirán siendo propiedad exclusiva de Virtual Paralegal. Se le otorga una licencia limitada, no exclusiva, intransferible y revocable para acceder y utilizar la plataforma únicamente para las operaciones administrativas de su firma.
Usted conserva todos los derechos de propiedad intelectual sobre los datos, expedientes de casos, detalles de clientes y comunicaciones que pasan por el sistema.
7. Ley Aplicable y Jurisdicción
Estos Términos se regirán e interpretarán de acuerdo con las leyes del Estado de Florida, EE. UU., sin dar efecto a sus disposiciones sobre conflicto de leyes. Cualquier acción o procedimiento legal derivado de estos Términos se iniciará exclusivamente en los tribunales ubicados en Jacksonville, Florida.
